Wholesale Terms
Entity: I’m Nutrients Pty Ltd (ABN: 54 660 751 860) (“I’m Nutrients”, “we”, “us”)
Retailer/Account Holder: the business applying for or holding a wholesale account (“you”, “your”)
By creating a wholesale account, ticking “I agree”, placing an order, or reselling our products (“Products”), you agree to these Terms.
1) Account approval and eligibility

Wholesale accounts are available to approved retailers and approved practitioner/clinic accounts.

Approval is at our sole discretion. We may request verification (e.g., business registration, clinic details, store URL(s), social pages).

We may suspend, restrict, or terminate your account if we reasonably believe you have breached these Terms or may harm our brand or customers.
2) Authorized sales channels (where you may sell)
You may sell Products only through the following approved channels:

Your physical retail store(s); and/or
-
Your owned and operated website (including a clinic website); and/or
-
Your physical clinic/premises (for practitioner/clinic accounts); and/or
-
Other channels only if pre-approved in writing by us.
3) Prohibited resale channels (no third-party marketplaces)

You must not list, advertise, sell, or fulfill Products on any third-party marketplace or auction platform, including (without limitation): Amazon, eBay, Catch, Kogan Marketplace, Walmart Marketplace, Etsy, Temu, AliExpress, Facebook Marketplace, or any similar platform (including future platforms of a similar nature).

You must not supply Products to any third party where you know (or reasonably should know) the Products will be sold via a prohibited marketplace.
4) No unauthorized B2B / onward wholesale

Retailers: You may sell Products only to end consumers. You must not sell Products to other retailers, wholesalers, distributors, buying groups, or resellers.

Practitioner/Clinic accounts: You may sell to end consumers via your clinic and/or your owned website. You must not supply Products for onward resale by unrelated third parties (including other clinics or retailers) without our written approval.

You must not export Products outside Australia (or your approved territory) or enable cross-border resale without our prior written consent.
5) MAP Policy (Minimum Advertised Price)

You agree to comply with our Minimum Advertised Price (MAP) Policy, as updated from time to time. We will provide the MAP Policy upon request or via our wholesale portal.

“Advertised” includes any publicly visible price online or offline (websites, email campaigns, promo codes displayed publicly, paid ads, social posts, shopping feeds, printed catalogues).

Any promotion or discounting must comply with the MAP Policy (or have our prior written approval where required).

Repeated or material MAP breaches may result in immediate suspension or termination of your wholesale account.
6) Brand, images and marketing rights

Our intellectual property: All trademarks, logos, product names, packaging, imagery, videos and written content provided by us (“Brand Assets”) are owned by I’m Nutrients or our licensors.

Limited license: While your account is in good standing, we grant you a limited, revocable, non-exclusive, non-transferable license to use approved Brand Assets solely to market and sell Products through your approved channels.

You must not:
-
alter logos or product names, remove batch/expiry details from imagery, or misrepresent Products;
-
create or publish medical/therapeutic/disease claims, or any non-compliant claims;
-
use Brand Assets to promote competing products;
-
register domains, social handles, or ads that are confusingly similar to “I’m Nutrients” or our product names.

We may require you to remove or amend any content (including images, claims, or advertising) that we reasonably consider non-compliant, inaccurate, misleading, or brand-damaging.
7) Product integrity, storage and handling

You must store and handle Products in accordance with good industry practice and any label directions, including appropriate stock rotation and selling within expiry.

You must not relabel, repackage, decant, tamper with, or modify Products (including removal of seals, batch codes, expiry dates).

You must promptly notify us of any suspected quality issue, counterfeit concern, or serious customer complaint.
8) Monitoring and enforcement

We may monitor advertised pricing and listings, including via automated tools and third-party services.

You agree to provide reasonable information upon request to confirm compliance (e.g., URLs, screenshots, confirmation of takedowns).

If you breach these Terms, we may (without limitation): issue warnings, suspend ordering, cancel orders, revoke Brand Asset permissions, terminate your account, and/or refuse future supply.
9) Orders, returns and general terms

Wholesale pricing, minimum order quantities/values, freight terms, and payment terms are as stated on our portal/invoice and may change with notice.

Claims for shortages/damages must be lodged within 5 business days of delivery with photos.

Returns are only accepted with prior written approval and subject to our returns policy and applicable law (for safety reasons, opened ingestible products are generally not returnable unless required by law).
10) Updates, governing law and jurisdiction

We may update these Terms at any time. Continued use of your wholesale account or purchase/resale of Products constitutes acceptance of the updated Terms.

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of the NSW courts.
